Welcome to ITX DIGITAL Enterprise, a division of ITX Digital Services. These Terms and Conditions govern your access to and use of our enterprise technology platforms, digital infrastructure services, messaging systems, cloud environments, and related solutions.
By accessing our website or subscribing to any of our enterprise services, you agree to be legally bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

2. Definitions
For the purpose of these Terms:
“Company” refers to ITX DIGITAL Enterprise / ITX Digital Services.
“Client” refers to any business entity, organization, or authorized representative using our services.
“Services” refers to all enterprise digital solutions provided by the Company.
“Agreement” refers to these Terms and Conditions and any related service contracts.
3. Scope of Services
ITX DIGITAL Enterprise provides advanced digital and infrastructure services including but not limited to:
Enterprise Messaging Platforms (Bulk SMS and alerts)
Omnichannel Contact Center Solutions
Cloud & Infrastructure Services
Domain Registration and Hosting Solutions
Enterprise CRM Platforms
WhatsApp Business Integration Solutions
AI-Based Email Security Services
Specific services may be governed by additional Service Level Agreements (SLAs), project contracts, or subscription agreements.
4. Eligibility and Authority
Our services are strictly intended for legally registered businesses, corporate entities, institutions, and government bodies.
By using our services, the Client confirms that:
They are legally authorized to represent their organization.
All information provided is accurate and up to date.
They will comply with all applicable laws and regulatory requirements.
5. Account Registration and Security
Clients may be required to create enterprise accounts to access certain services.
The Client is responsible for:
Maintaining confidentiality of login credentials
Restricting access to authorized personnel
Promptly notifying us of unauthorized access or security breaches
The Company is not liable for losses caused by unauthorized access resulting from Client negligence.
6. Acceptable Use Policy
Clients agree not to use our services for:
Illegal, fraudulent, or deceptive activities
Spam messaging or unsolicited communications
Phishing, impersonation, or identity fraud
Distribution of malware, ransomware, or harmful code
Violations of intellectual property rights
Harassment, hate speech, or abusive communication
Activities that disrupt telecom networks or cloud infrastructure
We reserve the right to suspend, restrict, or permanently terminate services without prior notice if violations occur.
7. Service Availability and Performance
ITX DIGITAL Enterprise strives to provide enterprise-grade reliability and uptime. However, uninterrupted service cannot be guaranteed due to:
Scheduled maintenance
Emergency system updates
Third-party telecom or cloud provider outages
Cybersecurity incidents
Force majeure events (natural disasters, government actions, etc.)
We will make reasonable efforts to restore services promptly.
8. Service Modifications
We reserve the right to:
Update, improve, or discontinue services
Modify technical specifications
Introduce new features or enhancements
Clients will be notified where material changes affect service functionality.
9. Payment Terms
All enterprise services may be subject to setup fees, subscription charges, or usage-based billing.
Invoices must be paid within the agreed payment period.
Late payments may result in service suspension or additional charges.
All payments are non-refundable unless otherwise stated in writing.
Failure to settle outstanding balances may result in permanent account termination.
10. Intellectual Property Rights
All trademarks, branding, content, source code, system architecture, documentation, and proprietary technology remain the exclusive property of ITX Digital Services.
Clients may not:
Copy or replicate software
Reverse engineer platforms
Resell services without written authorization
Remove proprietary notices
Client data remains the property of the Client.
11. Confidentiality
Both parties agree to maintain confidentiality of:
Business strategies
Technical architecture
Client databases
Pricing structures
Internal documentation
Confidential information shall not be disclosed to third parties without written consent unless required by law.
12. Data Protection
We implement industry-standard security protocols including:
Encrypted communication
Secure cloud hosting
Firewall and intrusion detection systems
Role-based access controls
Continuous security monitoring
However, no digital infrastructure is completely immune from risk.
13. Limitation of Liability
To the maximum extent permitted by law:
The Company shall not be liable for indirect, incidental, or consequential damages.
We are not responsible for business losses, loss of revenue, data loss, or reputational harm.
Liability is limited to the total fees paid by the Client within the previous billing period.
14. Indemnification
The Client agrees to indemnify and hold harmless ITX DIGITAL Enterprise against claims, damages, or liabilities arising from misuse of services or breach of these Terms.
15. Suspension and Termination
We may suspend or terminate services if:
The Client violates these Terms
Payment obligations are not met
Illegal activities are detected
Regulatory authorities require suspension
Upon termination, access to systems may be revoked immediately.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Sri Lanka. Any disputes shall be resolved exclusively within the courts of Sri Lanka.
17. Amendments
We reserve the right to update these Terms periodically. Continued use of services constitutes acceptance of revised terms.
